In these terms, "droplana", "we", "us", and "our" refer to Ubique d.o.o.

Scope

These Terms of Service govern your use of Droplana (the "Service"). By creating an account, or by continuing to use the Service after updated terms are made available, you agree to be bound by these terms.

Acceptable Use

You may use the Service to share files and messages with your clients in the normal course of providing professional services. You are responsible for all activity that occurs under your account.

Prohibited conduct

You must not use the Service to:

  • Share sexual content — store, share, or transmit sexually explicit or pornographic material of any kind. This includes child sexual abuse material (CSAM), which will result in immediate account termination and mandatory reporting to relevant authorities.
  • Promote discrimination, racism, or hate — distribute content that dehumanises, attacks, or incites hatred against individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics.
  • Incite or glorify violence — distribute content that incites, glorifies, threatens, or facilitates physical violence, terrorism, or violent extremism.
  • Spread malware or harmful code — upload or distribute viruses, ransomware, spyware, stalkerware, exploits, or any software designed to damage systems or covertly surveil others without their knowledge and consent.
  • Facilitate fraud, phishing, or identity theft — impersonate others, create deceptive materials, or distribute content designed to fraudulently obtain credentials, financial information, or personal data.
  • Violate intellectual property rights — store or share material that infringes copyright, trademarks, or other intellectual property rights without authorisation.
  • Violate privacy — distribute personal data of third parties without a lawful basis, or use the Service as a tool for covert surveillance of individuals.
  • Evade law enforcement or circumvent legal process — use the Service to obstruct investigations or destroy evidence subject to legal hold.

Content Ownership and License

You retain ownership of all files and content you upload to the Service. By uploading content, you grant Droplana a limited, non-exclusive, royalty-free license to store, copy, and transmit that content solely to the extent necessary to provide the Service to you and your clients. We do not claim any ownership over your content.

Account Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Service, at our discretion, with or without notice, if:

  • you violate these Terms or the Fair Use Policy;
  • your account is involved in illegal activity or poses a risk to other users or third parties;
  • required by applicable law or a valid legal order; or
  • we discontinue the Service.

For violations involving illegal content, harm to minors, fraud, or other serious misconduct, termination is immediate and no refund will be issued. For other violations, we will generally attempt to contact you first, except where doing so would be impractical or legally prohibited.

On termination, your right to access the Service ends. You may export your data before termination where possible; on our initiative, we will give reasonable notice unless the violation requires immediate action.

Indemnification

You agree to indemnify, defend, and hold harmless Ubique d.o.o. and its officers, employees, and contractors from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising from: (a) your use of the Service; (b) content you upload or transmit through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

Data Controller Responsibility

You, the Business, are the data controller for your Customers' personal data processed through the Service. You are responsible for ensuring you have a lawful basis to collect and share that data, and for responding to any data subject requests from your Customers.

Billing

Paid subscriptions are processed by Creem.io - Armitage Labs OÜ ("Creem"), who acts as our authorised reseller and Merchant of Record. Creem handles billing, invoicing, VAT/sales tax calculation, payment, and refund processing on our behalf. Your purchase is also subject to Creem's Buyer Terms. See our Refund Policy for details.

Service Availability and Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose, merchantability, or uninterrupted availability. We aim for high availability but do not guarantee uninterrupted or error-free access. We may modify or discontinue the Service with reasonable notice.

Limitation of Liability

To the extent permitted by law, Droplana is not liable for indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or related to these terms is limited to the amount you paid us in the twelve months preceding the claim.

These limitations do not apply where prohibited by mandatory consumer protection law applicable in your jurisdiction.

We comply with valid legal process — including court orders, subpoenas, and law enforcement requests — under Croatian and applicable EU law. Where we are legally permitted to do so, we will notify the affected account holder before disclosing their data. We will not disclose more information than required by the legal process, and we will push back on requests we believe are overbroad or unlawful.

Changes to These Terms

We may update these terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms. If you do not agree, you may terminate your account before the changes take effect.

Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Croatia. Any disputes are subject to the exclusive jurisdiction of the Croatian courts, save for mandatory consumer protection rights of EU/EEA residents under the law of their country of residence.
